Limited companies have a legal duty to file certain documents throughout their lifetime. These include annual accounts, the Confirmation Statement, Corporation Tax Return, and Self Assessment Tax Returns for directors. If you do not submit your company accounts on time, you will be subject to a late filing penalty.
No, but there are other consequences. Not filing your company’s Confirmation Statement is a criminal offence and can lead to the director(s) being fined personally. Companies House may also choose to strike your company off the register.
Late filing penalties are given automatically after a company fails to file its accounts before the deadline. This will be issued to your registered office address.
Your company accounts are due 21 months after you registered with Companies House and your annual accounts must be filed nine months after your company’s financial year ends. Companies House has more information available here.
The financial penalties you receive for filing your company accounts late will increase depending on the amount of time that has passed since they were due.
Up to one month: £150
One to three months: £375
Three to six months: £750
More than six months: £1500
Companies House may also strike your company off the register.

Yes. You must state why you were not able to file your accounts on time and prove that circumstances were beyond your control.
Claiming your company is dormant, that you can’t afford to pay, it was someone else’s fault, you didn’t know when or how to file your account, the accounts were delayed by the post or the directors were living or travelling overseas are not acceptable reasons.
