• @UK PLC will submit same day formation orders up until 2.45pm.
• Please allow time to complete your application, plus 10 minutes for the @UK automated system to submit it.
• We strongly advise you not to leave submission until 2.44pm.
• If there is any problem with the application such that it is rejected, ( Eg a wrong postcode ) that is not the fault of @UK PLC, we cannot be held responsible for missing Companies House deadline.
• If when submitting the application, the system notes that the deadline has passed, @UK will abort the submission and contact you re: a full or partial refund.
• If, for any fault of @UK, your company is not formed on the date of application you may have a full refund.
• If, for any fault of Companies House, your company is not formed on the date of application @UK PLC will refund you the SameDay surcharge.
• It is possible that the company will be formed on the same day but there has been a delay from Companies House in sending out the certificate. As long as Companies House can provide the company number, then the company will be considered to be "formed".

Issued by the Registrar of Companies a Certificate of Good Standing authenticates the existence of the company and provides evidence of the officers and share capital. It is often used when a UK company needs to be registered or to trade outside the UK.

The certificate confirms the company name, number, date of incorporation and that it has been in continuous and unbroken existence since its incorporation. It also states that no action is currently being taken by the Registrar of Companies to strike the company off the register and dissolving it as defunct. In addition, and as far as the Registrar is aware, the company is not in liquidation or subject to an administration order and no receiver or manager of the company’s property has been appointed. The certificate will not be issued if the company is not up to date with the filing of annual returns and accounts.

Details of the Registered Office address, name and addresses of Directors and Secretary and share capital on the certificate can be added on request. We will order the certificate with this extra information unless you indicate OTHERWISE in the Extra Information Box in the checkout.

Director/Member Service Address

Since 1st October 2006 a director or member is protected from the public. A director or member must now supply a service address that will be displayed on the public register. A director or member must also supply his/her home address, but that address is not available to the public.

For £60 per year all directors/members of the company may use our registered office address as a service address if this product is purchased.

Due Diligence

Following the Money Laundering regulations of 15th December 2007, in common with all other formation agents, we will now be requiring Due Diligence for this service.

If you have not already supplied your documents to us, you will need to send in photographic id Eg Passport/driving licence, and confirmation of address Eg recent utility bill, bank statement, council tax bill. These can be original documents or copies certified by a solicitor, notary public or commissioner for oaths.
Please also enclose an addressed envelope for their return to ensure that they are returned to your preferred address. We recommend that any documents are sent by special or secure delivery and if you are resident in the UK we will return all documents by special delivery. If you prefer, documents can be presented at our offices in person when they will be copied and returned to you immediately.

NB PLEASE DO NOT SEND ORIGINAL DOCUMENTS IF YOU ARE LIVING OVERSEAS. SEND CERTIFIED COPIES ONLY.

A limited company needs a minimum of 1 director and 1 subscriber. They may be the same person.
A PLC needs a minimum of 2 directors and 1 secretary and 2 subscribers. The secretary may also be a director and/or subscriber.

Since 6th April 2008 it is no longer a requirement for a private (limited) company to have a secretary - the work of the secretary can be carried out by the director.
But a PLC still MUST have a secretary.

@UK PLC can act as your company secretary for £ 60 per year.
We will sign any necessary documents, Eg bank mandate, and file the annual return (including £15 filing fee)

Share Certificates provide a shareholder with proof of ownership. The certificate outlines the number of shares that have been allocated to the shareholder.

Our Share Certificates only come in packs of 5, if you require more simply add further packs to your order. Or, we can email you an electronic share certificate.

Individual Share Certificates provide a shareholder with proof of ownership. The certificate outlines the number of shares that have been allocated to the shareholder.

A Share Certificate includes the following information

• Company Name
• Types of shares issued
• Name and address of share holders
• Number of shares (in words) assigned
• Value of the shares
• A signature from a Director or Secretary of the Company

3 bound copies of the Memorandum and Articles of Association.

The Memorandum and Articles of Association are documents that are legally required on the incorporation of a LTD company. The document is the constitution of the company.

All of our formation packages include these documents as a word attachment, which you can save and print off at your convenience, but we offer this additional service if you would like extra printed and bound copies.

This service costs just £90 per year - a saving of £30 on buying the two products separately.

Registered Office

Your company requires a registered office. Companies must have a registered office in England, Wales, Scotland or Northern Ireland. This will normally be the address that you enter later in the registration process.  However @UK PLC can act as your registered office.
You will need to use us as your registered office if your business is based outside of the British Mainland.

By using our registered office at the time of formation, the company will be registered in England and Wales. Although in the future you can change the registered office address to any other address in England in Wales, it will not be possible ever to change the registered address to an address in Scotland, or Northern Ireland.
